These Terms and Conditions ("Terms") govern your use of the services, products, and platforms provided by Index E-Solutions Pvt. Ltd., headquartered in Harare, Zimbabwe. By accessing or using any of our services (including but not limited to digital solutions, software services, and web applications), you agree to comply with and be legally bound by these Terms. If you do not agree with any part of these Terms, you must not access our services.

1. Services Offered

Index E-Solutions provides IT and digital solutions, including software development, cloud services, website and app development, IT consultancy, and managed services. These services may be customized based on client requirements and are governed by mutually agreed service-level agreements (SLAs), where applicable.

2. Eligibility

By using our services, you confirm that you are at least 18 years old and legally capable of entering into contracts. If you represent a business or entity, you warrant that you have authority to bind that organization.

3. User Responsibilities

You agree not to misuse our services. You shall not use them:

• 1. For any unlawful or fraudulent purposes.

• 2. To breach any applicable laws in Zimbabwe or internationally.

• 3. To infringe upon our intellectual property rights or those of any third party.

• 4. To distribute viruses, malware, or other malicious code.

You are responsible for maintaining the confidentiality of your account credentials and for any activity under your account.

4. Intellectual Property

All content, software, designs, logos, trademarks, and related materials are the intellectual property of Index E-Solutions unless otherwise stated. You may not reproduce, modify, distribute, or create derivative works from any part of our intellectual property without our express written consent.

5. Payment Terms

All pricing and payment terms will be outlined in the quotation or service agreement. Payments are typically due in advance or in mutually agreed milestones. Failure to pay on time may result in suspension or termination of services.

6. Service Availability

While we strive for uninterrupted availability, we do not guarantee 24/7 uptime due to maintenance, network issues, or other uncontrollable circumstances. We shall not be liable for any downtime, delays, or data loss resulting from such disruptions.

7. Data Usage and Privacy

Your use of our services is also governed by our Privacy Policy. By using our services, you consent to our collection, use, and processing of personal data as described therein.

8. Limitation of Liability

To the fullest extent permitted by law, Index E-Solutions shall not be liable for:

• 1. Any indirect, incidental, or consequential losses.

• 2. Loss of profits, revenue, or business opportunities.

• 3. Data breaches not caused by our gross negligence.

Our maximum liability shall not exceed the amount you have paid for the services in the six months preceding the claim.

9. Termination

We may suspend or terminate your access to our services at any time for:

• 1. Breach of these Terms.

• 2. Non-payment.

• 3. Legal compliance.

Upon termination, all rights granted to you will immediately cease, and any outstanding fees become due.

10. Indemnity

You agree to indemnify and hold Index E-Solutions harmless from any claims, damages, liabilities, costs, or expenses arising out of your breach of these Terms or your misuse of the services.

11. Governing Law

These Terms shall be governed by the laws of the Republic of Zimbabwe. Any disputes shall be resolved under the jurisdiction of the courts located in Harare, Zimbabwe.

12. Modifications

We reserve the right to amend these Terms at any time. Changes will be communicated via our website or email. Continued use of the services after such changes constitutes your acceptance.
